TERMS AND CONDITIONS OF USE AND CONTRACTING – PATT
1. PURPOSE OF THESE TERMS
These Terms and Conditions (the “Terms”) govern your access to and use of the PATT mobile application and
PATT web platform (together, the “Platform”), including the purchase and management of tickets and free
entrances to events published by independent Event Organisers, Clubs and Promoters. By creating an
account, using the Platform or purchasing/booking an entrance, you agree to be bound by these Terms and
by our Privacy Policy and
Return and Refund Policy.
2. ROLES AND RESPONSIBILITIES
2.1 Company
PATT.CLUB LTD (“PATT”, “we”, “us”, “our”) is a company incorporated in England and Wales with registered
office at 128 City Road, London, EC1V 2NX, United Kingdom. PATT owns and operates the Platform and
provides software tools to Event Organisers, Clubs and Promoters to publish events, manage capacity and
sell tickets or allocate free entrances.
2.2 Event Organisers, Clubs and Promoters
Each event listed on the Platform is organised, priced and operated by an independent third party (the
“Event Organiser”, which may be a club, venue owner or promoter). The Event Organiser is solely
responsible for:
- Organising and holding the event, including all services and products offered at the venue.
- Setting ticket prices and conditions of sale, including any included drinks or extras.
- Managing access to the venue, including right-of-admission decisions in accordance with applicable
law.
- Complying with all legal, tax, safety and licensing obligations related to the event.
The contract for the ticket or entrance is concluded directly between you and the relevant Event
Organiser. PATT never acts as organiser of the events, does not participate in their physical execution
and does not provide hospitality services.
2.3 PATT as intermediary
PATT provides the technological Platform and, in some cases, payment processing services on behalf of
Event Organisers. Unless expressly stated otherwise for a specific product, PATT acts as an intermediary
or ticketing provider and is not a party to the contract for the event itself.
2.4 Complaints and incidents
Complaints relating to cancellations or substantial modifications of events, quality of the event,
denied entry, included drinks or services and any other aspects of the event must be addressed primarily
to the Event Organiser. PATT will provide technical assistance and communication tools but is not
responsible for how an Event Organiser handles such complaints, except where required by applicable
law.
3. ACCESS TO THE PLATFORM AND USER ACCOUNTS
- Eligibility: You must be at least 18 years old (or the age of legal majority in
your country) to create an account and use the Platform for purchasing tickets.
- Account information: You must provide accurate and up-to-date information and keep
your login credentials confidential. You are responsible for all activity occurring under your
account.
- Account security: You must notify us immediately of any unauthorised use of your
account or other security breach. We may suspend or close accounts where we detect misuse or
suspicious activity.
4. USE OF THE PLATFORM
- Permitted use: You may use the Platform to discover events, manage your entrances,
purchase tickets and interact with other users in accordance with these Terms and our content and
behaviour guidelines.
- Prohibited conduct: You must not use the Platform to engage in illegal activities,
infringe intellectual property rights, harass or abuse others, circumvent security measures, create
false accounts, attempt to access data without authorisation or reverse engineer the Platform.
- Zero tolerance policy: We have a zero tolerance policy for objectionable content,
hate speech, harassment, threats and any behaviour that violates applicable law or our community
standards. Breaches may result in suspension or termination of your account.
5. TICKETS, PRICES, FEES AND TAXES
5.1 Ticket purchase process
When you purchase a ticket or confirm a free entrance via the Platform, you will be shown a summary of
the event, the number of tickets or entrances, the total price (if applicable) and any key conditions.
By confirming the purchase, you authorise PATT and/or our payment providers to charge the indicated
amount on behalf of the Event Organiser.
5.2 Final price and fees
- The total price displayed to you (“Final Price”) is determined by the Event Organiser and includes
the ticket price plus any booking or management fees that may apply.
- To the extent required by law, the Final Price includes all applicable indirect taxes on admission
and is not broken down into separate B2C services sold by PATT.
- Where the Event Organiser is required to issue VAT-compliant invoices or receipts, it is responsible
for doing so and for determining the correct tax treatment.
5.3 PATT commissions (B2B)
PATT invoices its commissions or promotional fees directly to Event Organisers. Such B2B invoices may be
subject to the reverse-charge mechanism where the organiser is VAT-registered and the relevant law so
provides. These commissions are separate from the Final Price paid by you for the event.
6. CANCELLATIONS, MODIFICATIONS AND REFUNDS
The rules on cancellations, modifications and refunds for tickets and entrances are set out in detail in
our Return and Refund Policy, which forms an integral
part of these Terms. In summary:
- There is generally no statutory right of withdrawal for leisure services with a fixed date or
period, once the purchase is confirmed.
- In case of total or partial cancellation, substantial modification or pricing error, the Event
Organiser is principally responsible for any refunds due under applicable law.
- PATT provides technical tools to facilitate refunds on behalf of Event Organisers but is not
normally the debtor of the refund, unless expressly indicated otherwise.
7. ELECTRONIC CONFIRMATIONS AND TICKETS
- After a successful purchase, you will receive a confirmation (for example, by e‑mail, in-app
message or both) containing the details of your booking and your QR code or entrance reference.
- These confirmations identify the relevant Event Organiser as the seller and organiser of the event
and indicate that PATT provides the ticketing Platform.
- You are responsible for checking the accuracy of the information and for presenting the QR code or
other proof of purchase at the venue as required by the Event Organiser.
8. INTELLECTUAL PROPERTY
- The Platform, including its software, design, logos, trademarks and content created by PATT, is
protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable,
revocable licence to use the Platform for personal, non-commercial purposes in accordance with these
Terms.
- You may not copy, modify, distribute, sell, lease or create derivative works from the Platform or
any part of it, nor may you use our trademarks or branding without our prior written consent.
9. USER CONTENT
Some features of the Platform may allow you to upload or share content (for example, messages, images or
comments in group chats). You remain the owner of such content but grant PATT a worldwide, non‑exclusive
licence to host, store, reproduce, display and share it as necessary to provide the Service.
You are responsible for ensuring that your content does not infringe the rights of others, violate
applicable law or breach these Terms. We may remove or disable access to any content that we reasonably
consider to be unlawful, harmful or contrary to our policies.
10. LIABILITY AND PLATFORM RESPONSIBILITIES
- No responsibility for events: To the maximum extent permitted by law, PATT is not
responsible for the performance, quality, safety or legality of the events, nor for any products or
services provided at the venue (including drinks or extras included with tickets).
- Right of admission: Decisions about access to the venue, including enforcement of
dress codes, age limits and security checks, are made by the Event Organiser or venue in accordance
with applicable law. PATT is not responsible for such decisions, provided they do not breach
anti‑discrimination or consumer protection rules.
- Platform responsibilities: PATT is responsible for operating the Platform with
reasonable skill and care, processing payments that it directly handles, and transmitting tickets
and QR codes correctly to users and Event Organisers.
- Limitation of liability: Except where liability cannot be excluded or limited by
law, PATT will not be liable for indirect, consequential or punitive damages, loss of profit, loss
of opportunities or any damage resulting from events organised by third parties.
- Force majeure and third‑party failures: PATT shall not be liable for failures or
delays caused by events beyond its reasonable control, such as outages of payment providers,
telecommunications or hosting providers, natural disasters, strikes or changes in law.
11. DATA PROTECTION
The processing of your personal data in connection with the Platform is described in detail in our
Privacy Policy. Among other things, it explains our
role as data controller, the purposes and legal bases of processing, the categories of recipients and
your data protection rights.
12. CHANGES TO THE PLATFORM AND TO THESE TERMS
We may update or modify the Platform from time to time, for example to introduce new features, improve
security or comply with legal requirements. We may also amend these Terms where necessary. When we make
material changes, we will notify you by appropriate means (for example, by displaying a notice in the
app, updating the “Last updated” date or sending you an e‑mail) and, where required, request your
consent.
13. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of England and Wales, without prejudice to any mandatory consumer
protection rules that apply in your country of residence. Where permitted, disputes arising from or in
connection with the use of the Platform may be submitted to the competent courts of London, United
Kingdom, or to any other courts that cannot be excluded under applicable law.
